States Prepare Lawsuit to Block Paramount Warner Merger

A coalition of state attorneys general is preparing to file a lawsuit this week to halt Paramount Global’s proposed $111 billion acquisition of Warner Bros. Discovery, a move that could block the deal. California Attorney General Rob Bonta is among the state officials reportedly leading the effort and states led by California are nearing a challenge, according to reporting in The New York Times and The Information. Paramount has discussed relocating its operations from California and reallocating much of $30 billion in planned spending outside the state if California sues, Semafor reported. Oregon Attorney General Dan Rayfield has stepped into the matter, and scholars at UCSD’s MACRO Lab have published a report arguing the merger would harm media and culture. If the suit is filed this week, it would create a major legal obstacle that could delay or prevent consummation of the transaction and prompt parallel challenges in other jurisdictions including the United Kingdom.
