Paramount completes acquisition of Warner Bros. Discovery, creating Skydance

Paramount completed its acquisition of Warner Bros. Discovery, closing roughly a $110 billion deal that creates the new company Skydance and places CEO David Ellison in control. The combined company will report about $70 billion in annual revenue while carrying roughly $80 to $82 billion of debt, a liability Wall Street flagged as Skydance stock, ticker SKYD, dipped more than 2 percent in early trading. Skydance folds major properties including DC Studios, Nickelodeon, Cartoon Network, CNN, CBS, HBO and Paramount+, and the companies settled a lengthy legal battle and review process that included nine bids and the creation of an editorial independence board as part of approvals. Paramount secured billions in financing from Gulf investors in Saudi Arabia, Qatar and the United Arab Emirates to help fund the buyout. Company statements and press coverage noted that the press release did not mention the fate of the studios' games businesses, and reporters are still seeking clarification. Industry observers and union voices say Ellison faces the immediate challenge of paying down the takeover debt while integrating two large studios and their streaming services, a process that could trigger asset cuts, restructuring, or further regulatory scrutiny.
